Terms and conditions of service
[Company legal name] ("Zero Entry", "we", "us") Effective date: [effective date] Version: 1.0 (draft for legal review)
1. Agreement
These terms govern your use of the Zero Entry platform and services. By creating an account or using the service you agree to these terms. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business.
2. The service
Zero Entry is an accounting platform that captures financial documents, classifies transactions, and produces reports including invoices, an income statement and a balance sheet. The service assists with bookkeeping and reporting. It does not replace professional accounting, audit or tax advice.
3. Accounts
- You must provide accurate account information and keep it current.
- You are responsible for keeping your login credentials secure and for all activity under your account.
- You must tell us promptly of any unauthorised use of your account.
4. Acceptable use
You agree not to:
- use the service unlawfully or to process data you have no right to process;
- upload malware or attempt to disrupt, probe or gain unauthorised access to the service;
- resell or provide the service to third parties except as permitted by your plan; or
- use the service to launder money or to finance terrorism or proliferation.
5. Your data
- You retain ownership of the data you upload.
- You grant us the rights needed to process your data to provide and support the service, including through our service providers.
- You are responsible for the accuracy and lawfulness of the data you upload and for having the right to upload information about your customers and suppliers.
- We handle personal information in line with our privacy and data protection policies.
6. Accuracy and professional judgement
The service uses automated processing to read documents and classify transactions. It can make mistakes. You are responsible for reviewing the output before you rely on it, file it, or submit it to any authority. We are not liable for decisions you make based on unreviewed output.
7. Fees
Fees, billing and refunds are set out in the refunds and subscription policy, which forms part of these terms.
8. Intellectual property
The Zero Entry platform, software, branding and content are owned by us or our licensors. These terms do not transfer any of those rights to you. You may use the service only as these terms allow.
9. Third party services
The service may rely on or connect to third party services. We are not responsible for third party services, and your use of them may be subject to their own terms.
10. Availability
We aim to keep the service available but do not guarantee uninterrupted access. We may carry out maintenance, and we may change or discontinue features with reasonable notice where practical.
11. Suspension and termination
We may suspend or terminate access where you breach these terms, where required by law, or where necessary to protect the service or other users. You may stop using the service and close your account at any time, subject to the subscription policy.
12. Warranties and disclaimer
The service is provided on an as is and as available basis. To the extent permitted by law, we exclude implied warranties. This does not exclude any warranty or right that cannot be excluded under applicable law, including the Consumer Protection Act, 2018.
13. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, data or goodwill. Our total liability arising out of or in connection with the service is limited to the amount you paid us for the service in the [twelve] months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
14. Indemnity
You agree to indemnify us against claims arising from your unlawful use of the service or your breach of these terms, to the extent permitted by law.
15. Changes to these terms
We may update these terms. We will give reasonable notice of material changes. Continued use after the changes take effect means you accept them.
16. Governing law
These terms are governed by the laws of the Republic of Botswana, and the courts of Botswana have jurisdiction over any dispute.
